Please read these terms carefully before using pallet.bid.

1. Introduction

Welcome to pallet.bid ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the pallet.bid website, platform, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Definitions

  • "Auction" refers to any timed sale of a pallet or lot listed on the platform.
  • "Bid" refers to an offer placed by a registered user to purchase a pallet at a specified price.
  • "Buyer" refers to any registered user who places a bid or wins an auction.
  • "Buyer's Premium" refers to the additional fee charged to the winning bidder on top of the winning bid amount.
  • "Manifest" refers to the itemized list of contents included with each pallet listing.
  • "Pallet" or "Lot" refers to the grouped merchandise listed for auction on the platform.
  • "Seller" refers to any approved user who lists pallets for auction on the platform under the Seller Terms of Service.
  • "Commission" refers to the percentage of the hammer price retained by the platform from the seller's proceeds.

3. Account Registration

To participate in auctions, you must create a free account and verify your email address. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are solely responsible for maintaining the confidentiality of your account credentials. Any activity that occurs under your account is your responsibility. You must notify us immediately if you suspect unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or fail to pay for won auctions.

4. Bidding Rules

ALL BIDS ARE BINDING. By placing a bid, you are entering into a legally binding commitment to purchase the pallet at that price if you are the winning bidder.

  • Bids cannot be retracted, modified, or cancelled once placed.
  • A valid payment method must be on file before you can place a bid.
  • The minimum bid increment is specified on each auction listing.
  • Popcorn bidding: if a bid is placed in the final moments of an auction, the auction clock is automatically extended to give other bidders a fair opportunity to respond.
  • Any attempt to manipulate auctions through shill bidding, collusion, or other fraudulent means will result in immediate account termination and potential legal action.
  • Failure to pay for a won auction may result in account suspension, negative account standing, and/or collection action.

5. Buyer's Premium

A buyer's premium of 10% is applied to every winning bid. The premium is calculated on the winning bid amount (or Buy It Now price) and is added to the total amount due. The applicable premium percentage is displayed on each auction listing prior to bidding.

By placing a bid, you acknowledge and agree to pay the buyer's premium in addition to the winning bid amount.

6. Payment Terms

Payment is due immediately upon winning an auction. Your card on file will be charged automatically for the winning bid amount plus the buyer's premium.

If payment fails, you will be notified and must resolve the payment issue within 24 hours. Failure to do so may result in forfeiture of the won lot and account suspension.

All payments are processed securely through Stripe. We accept major credit and debit cards. We do not store your full card information on our servers.

7. Shipping & Pickup

Shipping costs are separate from the winning bid and buyer's premium. Real-time freight quotes are available through our logistics network. Shipping charges must be paid before your pallet is dispatched.

Local pickup is available at the warehouse address listed on the auction. Pickup must be arranged within the timeframe specified after winning. Pallets not picked up within the specified window may be subject to storage fees.

Risk of loss and title for items pass to you upon delivery (for shipped items) or upon pickup (for picked-up items).

8. Shipping Information Accuracy & Liability

Accurate shipping information is essential for freight and parcel deliveries. Both buyers and sellers are responsible for the accuracy of the information they provide on the platform.

8a. Buyer Responsibilities

  • You are solely responsible for the accuracy of your delivery information, including but not limited to: delivery address type (residential vs. commercial), liftgate requirements, loading dock availability, and any special delivery instructions.
  • Freight quotes are calculated based on the delivery information you provide. If your information is inaccurate (e.g., you indicate you have a loading dock or forklift but do not, or your address is residential but registered as commercial), the carrier may assess additional accessorial charges at the time of delivery.
  • You authorize pallet.bid to charge your card on file for any additional carrier fees, accessorial charges, or surcharges resulting from inaccurate or incomplete delivery information you provided. These charges include but are not limited to: liftgate service, residential delivery surcharges, re-delivery fees, storage charges, and address correction fees.

8b. Seller Responsibilities

  • Sellers are responsible for the accuracy of all listing information, including but not limited to: total pallet weight, number of pallets, dimensions, freight class, pickup address type (residential vs. commercial), and pallet availability for pickup.
  • If the actual weight, dimensions, or freight class of a shipment differs materially from what the seller represented in the listing (e.g., listed weight of 500 lbs but actual weight is 1,600 lbs), the carrier will re-weigh and re-classify the shipment, resulting in additional freight charges.
  • pallet.bid reserves the right to withhold, delay, or deduct from the seller's payout any amount necessary to cover additional freight costs, carrier re-classification charges, accessorial fees, or penalties resulting from inaccurate listing information provided by the seller.
  • Repeated or egregious misrepresentation of shipment details may result in seller account suspension or termination.

8c. Platform Liability Release

pallet.bid acts solely as a marketplace facilitator for freight and shipping services. To the fullest extent permitted by law, you release and hold harmless pallet.bid, its officers, directors, employees, and agents from any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Carrier-assessed accessorial charges, re-weigh fees, re-classification fees, or delivery surcharges
  • Shipping delays, damage in transit, or carrier service failures
  • Inaccurate weight, dimensions, freight class, or delivery requirements provided by any user
  • Differences between estimated freight quotes and final carrier invoices

By using the platform to buy or sell, you acknowledge that freight and shipping costs are estimates based on user-provided information, and that final carrier charges may differ. You agree that pallet.bid is not liable for any such differences and that you are solely responsible for the accuracy of the information you provide.

9. SMS / Text Message Communications

By explicitly opting in via the SMS consent checkbox during account registration, you consent to receive SMS/text messages from pallet.bid. These messages may include auction notifications (outbid alerts, auction ending, auction won), account updates, payment confirmations, shipping and freight tracking updates, and account setup reminders.

Standard message and data rates may apply. Message frequency varies. Consent to receive text messages is not a condition of purchasing or using the Service.

You may opt out of text messages at any time by replying STOP to any message. Reply HELP for support, or contact us at notify@pallet.bid or (864) 689-9303. For more information about how we handle your phone number and messaging data, see our Privacy Policy.

Your mobile information will not be sold, shared, or distributed to third parties or affiliates for promotional or marketing purposes. We will not share your opt-in to an SMS campaign with any third party for purposes unrelated to providing you with the services of that campaign.

10. No Returns Policy

All sales are final. There are no returns, refunds, or exchanges on any auction purchases.

Liquidation pallets are sold as-is based on the manifest, condition rating, and photographs provided in the listing. Minor variances in contents or condition may occur and are inherent to the nature of liquidation merchandise.

You are strongly encouraged to review all available information, including the manifest and photos, before placing a bid.

If your pallet arrives with visible shipping damage, you must note the damage on the carrier's delivery receipt at the time of delivery and contact us within 24 hours. Shipping damage claims are handled through the freight carrier's insurance and are not guaranteed.

11. Seller Marketplace

pallet.bid operates as a multi-seller marketplace. Approved third-party sellers may list pallets for auction on the platform. All auctions, whether listed by the platform or by third-party sellers, are conducted under the authority of a licensed South Carolina auctioneer (SC License #4674).

For Buyers: When you purchase a pallet listed by a third-party seller, the seller is responsible for the accuracy of the listing description, manifest, condition rating, and photographs. pallet.bid facilitates the auction, payment processing, and freight coordination but does not own, inspect, or guarantee the merchandise sold by third-party sellers. The same no-returns policy applies to all auctions regardless of seller.

For Sellers: Seller participation is governed by the Seller Terms of Service, which you must accept as part of the seller application process. Sellers agree to a 3.5% commission on the sale price, deducted before payout. Sellers are responsible for accurate listing descriptions, timely pallet availability for pickup, and compliance with all applicable laws.

pallet.bid reserves the right to approve, reject, or suspend seller accounts at its sole discretion based on application review, marketplace quality standards, or violations of the Seller Terms of Service.

12. Limitation of Liability

To the fullest extent permitted by law, pallet.bid and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

We make no warranties, express or implied, regarding the merchantability, fitness for a particular purpose, or value of any pallet or its contents beyond what is stated in the listing.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of South Carolina, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Product Information & Health Disclaimers

Important Information — Legal Disclaimer

Statements regarding dietary supplements have not been evaluated by the Food and Drug Administration (FDA) and are not intended to diagnose, treat, cure, or prevent any disease or health condition.

While we work to ensure that product information is correct, on occasion manufacturers may alter their ingredient lists, formulations, or packaging. Actual product packaging and materials may contain more and/or different information than that shown on our website. We recommend that you do not solely rely on the information presented and that you always read labels, warnings, and directions before using or consuming a product. For additional information about a product, please contact the manufacturer.

pallet.bid assumes no liability for inaccuracies or misstatements about products. Buyers are solely responsible for determining the suitability, safety, and regulatory compliance of any product purchased through the Service.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.
